User Terms and Conditions

Effective October 25, 2026

PLEASE READ THESE TERMS CAREFULLY

They govern access to and use of pedgree.com, every Club site on pedgree, and the related services, and create a binding agreement between you and Bhespoke L.L.C. By creating an account, creating a Club, subscribing to a plan, adding records or other Content, or otherwise using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.

1. Definitions and Scope

“pedgree,” “we,” “us,” and “our” mean Bhespoke L.L.C., a California limited liability company. “Service” means pedgree.com, the Club sites hosted on pedgree, and their related applications, features, communications, and services. “Club” means a breed club, society, registry, breeder, or other organization that operates a Register on the Service. “Club Administrator” means a user authorized by a Club to manage its Register, settings, and Members. “Member” means a user who holds an account on a Club’s site. “Register” means a Club’s records of animals, pedigrees, litters, owners, breeders, health results, titles, certificates, and related information. “Content” means animal records, photographs, logos, artwork, fonts, names, text, links, metadata, and other materials submitted to or made available through the Service.

These Terms apply to every visitor and registered user. Additional terms presented in connection with a particular feature, promotion, payment method, or third-party service also apply. If those additional terms conflict with these Terms, the additional terms control only for that feature or transaction.

2. Eligibility, Accounts, and Security

You must be at least eighteen (18) years old and legally capable of entering a binding contract to create an account, operate a Club, begin a paid subscription, or submit Content. By using the Service, you represent that you satisfy these requirements. The Service is not directed to children under thirteen (13).

You must provide accurate, current information and keep it updated. You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly through the contact page if you suspect unauthorized access. You may not impersonate another person, create deceptive accounts, share credentials in a manner that compromises security, or use automated means to create accounts or evade usage limits.

3. The Service and Relationship of the Parties

pedgree provides technology that enables Clubs to keep pedigree Registers, issue certificates, and give their Members access to their records. Clubs are independent users and are not employees, agents, joint venturers, or partners of pedgree. We are not a party to any separate relationship between a Club and its Members, or between a Club, a breeder, an owner, or the buyer of an animal, except to the extent expressly stated in these Terms.

pedgree does not register, certify, inspect, or vouch for any animal. Certificates and registrations are issued by Clubs, and the accuracy of a Register is the responsibility of the Club that keeps it.

We may add, modify, suspend, or discontinue features. We do not promise that any feature, Club, plan, price, or geographic availability will remain available.

4. Terms for Clubs

4.1 Club Accounts and Stripe

A Club Administrator may create a Club and invite other Club Administrators and Members within the limits of the Club’s plan. Paid plans are billed through Stripe, which performs payment processing and related services. Stripe’s terms and privacy policy govern its services. pedgree does not receive or store full card numbers or bank credentials.

4.2 Ownership and License

As between the Club and pedgree, the Club retains ownership of its Content. The Club grants pedgree a worldwide, non-exclusive, royalty-free, sublicensable license during the period the Content is hosted or reasonably retained to host, reproduce, resize, adapt for technical delivery, render into certificates and charts, publicly display on the Club’s site and public lineage pages, distribute, secure, moderate, and otherwise use the Content solely to operate, improve, protect, and promote the Service. Promotional use of a Club’s name, logo, or Register in public marketing requires the Club’s permission. The license ends when the Content is deleted, subject to the retention, backup, legal-compliance, and dispute-preservation periods described in these Terms and the Privacy Policy.

4.3 Accuracy of Records and Rights in Content

The Club represents and warrants that it has every right, consent, and permission necessary for its Content and our permitted uses, including rights in photographs, logos, artwork, and fonts, and any consent required to record personal information about Members, owners, and breeders. The Club is solely responsible for the accuracy of its Register, including pedigrees, registration numbers, health results, and titles. Inbreeding coefficients and other figures the Service calculates are based only on the records entered, are provided for information, and are not veterinary, genetic, or breeding advice.

4.4 Fees and Plans

pedgree charges each Club the subscription fee for its chosen plan. Plan prices, limits, and features are shown on the pricing page and in the checkout flow at the time of purchase. Plans may be billed monthly or yearly; a yearly plan is charged for ten (10) months and includes two (2) months at no charge, and some plans are offered by the year only.

Fees are calculated separately for each Club. We may revise plan prices prospectively on at least thirty (30) days’ notice, and a revised price applies from the Club’s next renewal. Fees already paid are nonrefundable except as required by law or expressly stated otherwise.

4.5 Plan Limits and Bonus Certificates

Each plan sets limits, such as the number of animals on the Register, Member accounts, Club Administrator seats, and certificates issued each month. Some plans include a one-time allowance of bonus certificates for bringing an existing Register onto the Service; certificates issued come out of the bonus first, and the monthly certificate limit applies only once the bonus is used up. Records and features already in use keep working if a Club exceeds a limit. We may ask the Club to move to a suitable plan, and may limit new additions beyond the limit until it does. We will not delete records because a Club exceeds a limit.

4.6 Backups and Data Loss

We keep regular backups of the Service, and deleted records may remain restorable for a period. The Service is not, however, a substitute for a Club’s own copies of its Register. Clubs should export their Register regularly. pedgree is not responsible for loss of Content that a Club could have preserved by exporting it, except to the extent caused by our failure to use reasonable care.

4.7 Club Closure and Export

A Club Administrator may close a Club or account through available account controls or by contacting us. Billing for the affected Club stops, and its Members may be notified. A Club may export its Register at any time while the Club is open and during any export period made available after closure. Remaining Club data is handled under the Privacy Policy and applicable record-retention duties.

4.8 Content Rules

You may not upload, publish, transmit, or operate a Club containing Content that:

  • infringes copyright, trademark, privacy, publicity, contractual, or other rights;
  • contains unlawful threats, targeted harassment, doxxing, or incitement to violence;
  • promotes hatred or violence against a protected class;
  • sexually exploits, targets, or depicts minors, or includes unlawful sexually explicit material;
  • contains malware, fraudulent material, falsified pedigrees, registrations, health results, or certificates, deceptive metadata, or content intended to manipulate the Service; or
  • is unrelated to the Service’s purpose as an animal pedigree and registry platform.

We may investigate reports, remove or restrict Content, suspend or terminate accounts, preserve evidence, and cooperate with lawful process. When practical, we will notify the affected Club and provide an opportunity to respond, but immediate action may be taken for urgent, repeated, or egregious violations.

5. Plans, Members, and Cancellation

5.1 Subscriptions and Automatic Renewal

A paid plan renews automatically on the disclosed monthly or yearly cycle until canceled. Before a Club subscribes, the checkout flow will disclose the plan, price, billing frequency, renewal terms, and how to cancel. By selecting the purchase control, you expressly authorize recurring charges to your selected payment method through Stripe until cancellation.

5.2 Free Plan

A Club may use the free plan within its limits, without charge, for as long as the free plan is offered. Certificates issued on the free plan carry a small pedgree footer. Creating multiple Clubs or accounts to avoid plan limits is prohibited.

5.3 Member Accounts and Restrictions

Member accounts are provided by a Club, which decides who may have one and what each Member may see and do. Members do not pay pedgree for their accounts. Access is personal, limited, revocable, non-exclusive, and non-transferable. You may not copy, redistribute, sell, sublicense, circumvent technical controls, scrape, or use a Register or Service data except as expressly permitted by the Club and these Terms.

5.4 Cancellation and Refunds

A Club may cancel its plan at any time. Cancellation stops the next renewal, and the plan continues through the paid billing period. Monthly and yearly charges are not prorated or refunded except as required by law. If we discontinue the Service or permanently remove a Club other than for breach, billing stops and any refund required by this paragraph or applicable law will be processed to the original payment method where practicable.

6. Payments, Taxes, and Chargebacks

Stripe processes charges and refunds. You authorize Stripe and pedgree to take the payment actions necessary to provide the Service. Prices may exclude taxes. You are responsible for taxes imposed on your purchases or activities, except taxes imposed on pedgree’s net income. Fraudulent disputes and chargeback abuse may result in suspension, collection activity, or termination.

7. Copyright Complaints and Counter-Notices

pedgree respects intellectual-property rights and may remove or disable access to allegedly infringing material. A copyright notice should identify the copyrighted work, identify and locate the material, provide the complaining party’s contact information, contain a good-faith statement that the disputed use is unauthorized, contain a statement under penalty of perjury that the notice is accurate and the sender is authorized to act, and include a physical or electronic signature. Submit notices through the contact page and by mail to Bhespoke L.L.C., Attn: Copyright Agent, [ADDRESS]. A user may submit a legally sufficient counter-notice through the same channels. We may terminate repeat infringers in appropriate circumstances.

8. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information and is incorporated into these Terms. Club Administrators can see the information on their own Club’s Register and its Members’ accounts, but not payment credentials. Public lineage pages, which a certificate’s QR code opens, show an animal’s identity and ancestry as printed on a certificate, and not owner or contact details.

9. Acceptable Use and Enforcement

You may not interfere with the Service; probe or bypass security; introduce malicious code; access another user’s account or another Club’s Register; scrape or harvest data; reverse engineer except where a non-waivable law permits it; use the Service for unlawful, deceptive, sanctioned, or export-restricted activity; or assist another person in doing so. We may use automated and manual measures to prevent abuse and enforce these Terms.

10. Third-Party Services and Links

The Service relies on or may link to third-party services, including Stripe, Cloudflare, Hetzner, Google Fonts, and email providers. Those services are governed by their own terms and policies. We are not responsible for third-party services, content, availability, security, or practices, except to the extent liability cannot lawfully be excluded.

11. Service Availability and Changes

The Service is provided on a commercially reasonable, best-efforts basis without a service-level agreement. Maintenance, failures, third-party outages, security events, legal requirements, or other circumstances may interrupt access. We may take remedial steps, but an interruption does not create an automatic right to a refund except as expressly stated in these Terms or required by law.

12. Suspension and Termination

You may stop using the Service at any time. We may suspend, restrict, or terminate access for breach, fraud, payment failure, risk to users or the Service, legal process, prolonged inactivity, or discontinuation of the Service. When reasonably practicable, we will provide notice and an opportunity to cure. Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations, indemnity, dispute terms, and general provisions.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PEDGREE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR BREEDING OR COMMERCIAL RESULT, OR THAT CONTENT, INCLUDING PEDIGREES, CERTIFICATES, AND CALCULATED FIGURES, IS ACCURATE, LAWFUL, OR AVAILABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEDGREE AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY; OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PEDGREE IN PLAN FEES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR INTENTIONAL MISCONDUCT, FRAUD, OR PERSONAL INJURY CAUSED BY GROSS NEGLIGENCE TO THE EXTENT APPLICABLE LAW SO PROVIDES.

15. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless pedgree and its members, officers, employees, contractors, and agents from claims, damages, losses, liabilities, judgments, settlements, penalties, and reasonable attorneys’ fees arising from your Content, your breach of these Terms, your violation of law or third-party rights, or your misuse of the Service. pedgree may control the defense of a covered claim, and you will reasonably cooperate. This section does not require a consumer to indemnify pedgree for pedgree’s own unlawful conduct.

16. Disputes, Governing Law, and Venue

These Terms are governed by California law, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs any arbitration agreement separately accepted by the parties. Any action not subject to a separately accepted arbitration agreement must be brought exclusively in a state court of competent jurisdiction in [COUNTY] County, California, or the United States District Court for the [DISTRICT] District of California. You and pedgree consent to personal jurisdiction and venue there. Nothing in this section limits rights or remedies that cannot be waived under applicable consumer law.

17. Changes to These Terms

We may revise these Terms. We will post the updated version and effective date. For a material change, we will provide at least thirty (30) days’ advance notice by email, in-product notice, or another reasonable method. If a change materially affects an existing paid plan, it will apply no earlier than the next renewal unless required sooner by law or security needs. Continued use after the effective date constitutes acceptance; if you do not agree, stop using the Service and cancel subscriptions before the change takes effect.

18. General Terms

These Terms and incorporated policies are the entire agreement concerning the Service. You may not assign them without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Headings are for convenience. No third party is a beneficiary. Electronic communications and assent have the same effect as written communications and signatures.

19. Contact

Questions, legal notices, and support requests may be submitted through the contact page on pedgree.com. Mail may be sent to Bhespoke L.L.C., [ADDRESS].
